ITEM 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. On January 31, 2025, William A. Kozy informed the Board of Directors (the "Board") that he will retire as a director, effective on the date of The Cooper Companies, Inc.'s (the "Company's") next Annual Meeting of Stockholders in April 2025 (the "Annual Meeting"). There are no disagreements between Mr. Kozy and the Company on any matter relating to the Company's operations, policies or practices.
