Item 8.01 Other Events On February 3, 2026, GPGI, Inc., a Delaware corporation (the “ Company”), issued a press release announcing that its Board of Directors has declared a cash dividend of $0.0025 per share of Class A common stock. The dividend is payable to the Company’s shareholders of record as of February 13, 2026, and is expected to be paid on February 27, 2026. A copy of the press release is attached to this report as Exhibit 99.1.
