(the “ Company”), held on December 12, 2025, the Company’s stockholders: (i) approved the proposal to elect seven director nominees to serve as members of the Board of Directors of the Company until the next annual meeting of stockholders; and (ii) ratified the appointment of Wolf & Company, P.
