Item 1.01 Entry into a Material Definitive Agreement. On April 8, 2026, Solaris Energy Infrastructure, Inc. (the “ Company”) and certain of its subsidiaries entered into Amendment No. 1 (the “ Amendment”) to its senior secured term loan agreement, dated as of March 16, 2026 (as amended by the Amendment, the “ Term Loan Agreement”), among the Company, certain of the Company’s subsidiaries, Goldman Sachs Bank USA, as administrative agent and collateral agent, and the lenders party thereto. Among other changes, the Amendment provides for additional commitments (the “ Additional Commitments”) under the Term Loan Agreement in the aggregate principal amount of $200 million, in addition to the aggregate principal amount of $300 million in term loans made under the Term Loan Agreement on the original closing date of the Term Loan Agreement. Subject to satisfaction of customary conditions precedent, the Additional Commitments are available for a single borrowing until October 8, 2026.
