Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On December 5, 2025, Dr. Vin Menon, a Director of Apimeds Pharmaceuticals US, Inc. (the “Company”), and Amir A. Dossal, an Independent Director of the Company, resigned from their positions on the Company’s Board of Directors. The resignations were not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
