Item 8.01. Other Events. On March 31, 2026, Apimeds Pharmaceuticals US, Inc., a Delaware corporation (the “ Company”) filed a Notification of Late Filing on Form 12b-25 (the “Form 12b-25”), with respect to its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the “Form 10-K”). In the Form 12b-25, the Company disclosed that it would be unable to file the Form 10-K within the prescribed time period without unreasonable effort or expense due to the ongoing preparation of its financial statements and the need for additional time for its independent registered public accounting firm to complete its audit.
