(the “ Company”) commenced an offer to exchange (the “ Offer to Exchange”) certain of its outstanding warrants for shares of the Company’s common stock, par value $0.0001 per share, on the terms and subject to the conditions set forth in the Company’s Tender Offer Statement on Schedule TO, originally filed with the Securities and Exchange Commission (the “ SEC”) on January 23, 2026, as amended (the “ Schedule TO”), and the related offer materials, including the Offer to Exchange, dated January 23, 2026, as amended and restated April 15, 2026 (as further amended or supplemented from time to time). On May 12, 2026, the Company issued a press release announcing the extension of the expiration date of the Offer to Exchange from 5:00 p. m., Eastern Time, on May 11, 2026 to 5:00 p. m., Eastern Time, on June 30, 2026, unless further extended by the Company. The Company also filed Amendment No. 6 to the Schedule TO with the SEC to reflect such extension.
