Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 12, 2025, Burton Harvey notified the Company of his decision to resign as a member of the Company’s Board of Directors, effective as of November 14, 2025. Mr. Harvey’s decision to resign is not the result of any disagreement with the Company.
