On June 3, 2026, Mr. Jared Stanley notified Charlotte’s Web Holdings, Inc. (the “ Company”) of his intention to resign from his position as a member of the Board of Directors of the Company (and any committees upon which he sits) effective as of June 3, 2026. Following his departure from the Board of Directors, Mr. Stanley has agreed to continue supporting the Company in an advisory capacity. Mr. Stanley's decision does not relate to any disagreement with the Company, its management or the board of directors on any matter relating to the Company’s operations, policies or practices, including with respect to the Company’s accounting principles, practices or financial statement disclosures.
